TeleMainia® PA Portal Terms and Applicant Terms

These PA Portal Terms and Applicant Terms ("Terms") govern access to and use of the website, portal, application process, account tools, and related online services made available at pa.telemainia.com and any related webpages or systems that link to these Terms (the "Portal").
The Portal is operated by TeleMainia LLC d/b/a Phone Actress® ("TeleMainia®," "we," "us," or "our").
These Terms apply to each person who accesses or uses the Portal, submits an application, creates an account, signs in to an account, submits information, reviews materials, tracks earnings or statistics, signs up for alerts, or otherwise uses the Portal (each, a "Portal User"). A Portal User who submits an application is an "Applicant." A Portal User who has been approved to participate in a TeleMainia program is a "PA."

Adult-Oriented Opportunity
The Portal is used for applications, onboarding, account administration, communications, resources, payment-related information, and related account tools for adult-oriented telephone entertainment opportunities.
An Applicant or PA must be at least 18 years old and have reached the age of majority where the Applicant or PA lives. By accessing the Portal, submitting an application, creating an account, or participating in any TeleMainia program, the Portal User states that the Portal User satisfies those age requirements.
The Portal User is responsible for determining whether accessing the Portal, applying to participate in a TeleMainia program, or participating in a TeleMainia program is lawful where the Portal User is located.

Purpose and Scope of the Portal
The Portal allows Applicants and PAs to engage in some or all of the following activities, depending on approval status and available features:
- create a username and password;
- submit application information;
- confirm age eligibility;
- provide contact information and background or experience information;
- record or submit a sample greeting for review;
- complete onboarding requirements;
- provide tax and payment-related information;
- sign or accept agreements and authorizations;
- receive a login ID or account credentials;
- read news, updates, posts, notices, and other communications;
- track earnings, statistics, and related performance information;
- monitor recorded story performance;
- access learning documents and resources;
- update personal or account information; and
- sign up for SMS text alerts or other communications.
The Portal does not itself provide access to any telephone chatline, caller interaction, live customer interaction, paid member service, or customer-facing chat service. The Portal is not a customer-facing service and does not allow Portal Users to communicate with callers, members, or customers.

Relationship to Other Agreements
These Terms govern access to and use of the Portal. These Terms do not by themselves approve an Applicant, create a services relationship, entitle a Portal User to payments, or authorize a Portal User to participate in any TeleMainia program.
A PA’s participation in any TeleMainia program may be governed by one or more separate agreements, including an Independent Entertainment Business Agreement, entertainer agreement, payment authorization, tax certification, SMS/text alert terms, privacy notice, or other terms, policies, or authorizations.
If these Terms conflict with a separate signed or accepted agreement governing a PA’s services, payment rights, tax documentation, text alerts, or participation in a specific program, the separate agreement controls for that subject matter.
Some PAs may be authorized to access or participate in additional or separate programs. Those programs may be subject to separate agreements, approval criteria, account terms, policies, and compliance requirements.

No Employment Relationship
Nothing in these Terms, the Portal, the application process, or any communication through the Portal creates an employment relationship.
TeleMainia does not hire Applicants or PAs as employees through the Portal. Approved PAs operate as independent businesses or independent contractors, subject to the applicable agreement signed or accepted by the PA.
No Portal content, Portal feature, application approval, account access, communication, training material, resource document, statistic, earnings display, alert, or operational notice creates or implies employment, employee benefits, minimum compensation, scheduled work, supervision, control over work hours, or any right to receive assignments, calls, customer traffic, caller traffic, or business opportunities.
The parties intend that each approved PA will operate independently and will be responsible for the PA’s own business expenses, taxes, equipment, services, business decisions, and compliance obligations, except to the extent a separate written agreement expressly states otherwise.

Eligibility and Application Requirements
To apply or participate, an Applicant or PA may be required to satisfy eligibility requirements, including requirements relating to:
- age;
- identity;
- residency;
- state or jurisdictional eligibility;
- tax status;
- business status;
- experience or suitability;
- telephone, internet, device, and technical capability;
- payment method eligibility;
- compliance history;
- account security; and
- any other requirement established by TeleMainia.
TeleMainia may restrict, reject, suspend, or terminate applications, accounts, or participation from certain states, territories, countries, or jurisdictions.
TeleMainia may request additional information or documentation at any time to evaluate eligibility, verify information, satisfy legal or compliance obligations, administer payments, prevent fraud, or protect TeleMainia’s business.

Application Process
The application process may include multiple stages. TeleMainia may require an Applicant to:
- create a Portal account;
- provide legal name, contact information, address, phone number, email address, date of birth, and other application information;
- confirm that the Applicant is at least 18 years old;
- provide information about experience, background, or interest in participating;
- record or submit a sample greeting;
- provide tax information;
- select or provide a payment method;
- sign or accept applicable agreements; and
- complete any additional onboarding step required by TeleMainia.
TeleMainia may approve, reject, pause, or request additional information for any application. TeleMainia is not required to approve any Applicant or explain any application decision.
An Applicant shall provide truthful, accurate, current, and complete information. An Applicant shall promptly update information that becomes inaccurate or incomplete.

No Guarantee of Approval, Work, Calls, or Earnings
Submitting an application, creating an account, recording a sample greeting, completing onboarding steps, or receiving communications from TeleMainia does not guarantee approval, acceptance, account activation, continued participation, work, call volume, customer traffic, caller traffic, earnings, payments, conversions, reorders, or other business results.
TeleMainia does not guarantee that any PA will receive any number of calls, callers, customers, messages, conversion opportunities, recorded story plays, paid member interactions, account activity, or earnings.
Any earnings, statistics, performance data, examples, testimonials, or projections displayed or referenced through the Portal are informational only. They are not promises, guarantees, or statements that any Applicant or PA will achieve any specific result.

Account Credentials and Security
A Portal User shall maintain the confidentiality of the Portal User’s username, password, login ID, and other account credentials.
A Portal User shall not share, sell, transfer, lend, sublicense, or allow another person to use the Portal User’s account or credentials.
A Portal User is responsible for all activity under the Portal User’s account, whether or not authorized by the Portal User.
A Portal User shall promptly notify TeleMainia if the Portal User believes that account credentials have been lost, stolen, compromised, or used without authorization.
TeleMainia may require password changes, additional authentication, account verification, or other security measures at any time.

Accuracy of Information; Updates
A Portal User shall provide truthful, accurate, current, and complete information through the Portal.
A Portal User shall promptly update personal, contact, tax, payment, and account information if that information changes or becomes inaccurate.
TeleMainia may rely on the information submitted through the Portal. TeleMainia is not responsible for payment delays, account issues, missed notices, tax-reporting issues, or other consequences caused by inaccurate, outdated, incomplete, or false information submitted by a Portal User.

Identity, Age, Tax, and Payment Information
TeleMainia may require Applicants or PAs to provide identity, age, tax, and payment-related information as part of application, onboarding, account administration, payment processing, or legal compliance.
A PA shall provide accurate tax documentation, payment instructions, and payment-related information when required. A PA shall update that information promptly if it changes.
A PA is responsible for the accuracy of tax and payment information submitted through the Portal or otherwise provided to TeleMainia.
TeleMainia may withhold, delay, reject, reverse, or suspend payments to the extent permitted by applicable law or the applicable agreement if tax documentation, payment information, identity information, or other required information is missing, incomplete, inaccurate, unverifiable, or suspected to be fraudulent.

Sample Greetings, Recordings, and Submissions
As part of the application or onboarding process, TeleMainia may require an Applicant or PA to record, upload, or submit a sample greeting, voice recording, written statement, comment, profile information, or other material through the Portal or through a related system (collectively, "Submissions").
The Applicant or PA states that each Submission is original to the Applicant or PA, does not violate any law, does not infringe or misappropriate any third-party right, and does not contain false, misleading, unlawful, or unauthorized material.
The Applicant or PA hereby grants TeleMainia a nonexclusive, worldwide, royalty-free license to access, copy, store, reproduce, review, evaluate, transmit, and use each Submission for application review, onboarding, account administration, quality control, compliance, fraud prevention, recordkeeping, and related business purposes.
TeleMainia may reject, remove, disable, archive, retain, or delete any Submission in accordance with its business practices, legal obligations, and applicable agreements.
Approval of a sample greeting or other Submission does not guarantee approval, account activation, work, calls, caller traffic, earnings, or continued participation.

Call Monitoring and Recorded Activity
To the extent permitted by applicable law and any applicable agreement, TeleMainia may monitor, record, review, store, and evaluate calls, greetings, stories, messages, and related performance activity for quality assurance, compliance, safety, fraud prevention, payment administration, training, recordkeeping, and business operations.
A PA shall not record, store, copy, disclose, publish, or distribute caller communications, customer communications, platform recordings, greetings, stories, performance information, or other nonpublic program activity except as expressly authorized by TeleMainia in writing or as required by law.
This section does not limit any additional recording, monitoring, confidentiality, or content-use terms in a separate agreement.

Portal Communications, News, Updates, and Resources
The Portal may include news, updates, posts, announcements, training materials, learning documents, resource pages, operational notices, and other communications.
TeleMainia may add, remove, revise, disable, or replace Portal communications and resources at any time.
Portal resources are provided for informational, operational, training, or account-administration purposes only. They are not legal, tax, financial, accounting, medical, psychological, or professional advice.
TeleMainia recommends that Applicants and PAs consult their own advisers regarding legal, tax, business, financial, and other professional obligations.

Earnings, Statistics, and Performance Information
The Portal may display earnings, statistics, recorded story performance, account activity, or other performance-related information.
That information is provided for administrative and informational purposes. TeleMainia may update, correct, audit, adjust, or reconcile that information in accordance with applicable agreements, payment rules, accounting records, and business practices.
If Portal information conflicts with TeleMainia’s final accounting records or the applicable agreement, TeleMainia’s final accounting records and the applicable agreement control.
A PA shall promptly notify TeleMainia of any suspected error in earnings, statistics, payment information, or performance information.
Unless a separate agreement provides a different period, a PA shall notify TeleMainia of any disputed earnings, statistics, payment calculation, or payment amount within 30 days after the information is made available through the Portal or the payment is issued. Failure to give timely notice may limit the PA’s ability to dispute the information, except to the extent prohibited by law.

SMS Text Alerts and Other Messages
The Portal may allow a PA to sign up for SMS text alerts or other communications. SMS alerts may include application updates, onboarding instructions, operational notices, availability alerts, imbalance alerts, account notices, or other business-related communications.
SMS text alerts are subject to separate consent language, text alert terms, and applicable law. A PA who signs up for text alerts shall comply with the applicable opt-in process and may opt out as described in the applicable text alert terms or message instructions.
Message and data rates may apply. Message frequency may vary. TeleMainia does not guarantee that any text message or alert will be sent, received, timely, accurate, or available.
Operational alerts do not guarantee calls, caller traffic, earnings, payments, or participation opportunities.

Payment Administration
Payment rights, rates, payment calculations, payment timing, thresholds, offsets, chargebacks, adjustments, deductions, reserves, payment methods, tax reporting, and payment disputes are governed by the applicable agreement and payment terms.
The Portal may allow a PA to view payment-related information, earnings-related information, or payment method information. Those displays are informational and may be subject to audit, correction, reconciliation, adjustment, or confirmation.
TeleMainia may use third-party service providers to support payment administration, tax documentation, account verification, and related functions.

Taxes and Independent Business Responsibilities
Each approved PA is responsible for the PA’s own taxes, business expenses, licenses, registrations, equipment, services, insurance, legal compliance, and other business obligations, except to the extent a separate written agreement expressly states otherwise.
TeleMainia does not provide legal, tax, accounting, business, or financial advice. Any general information provided through the Portal about tax documentation, business status, EINs, payment methods, or similar topics is informational only.
A PA shall consult the PA’s own advisers regarding tax, business, legal, and financial obligations.

Prohibited Services and Activities
TeleMainia does not offer, promote, recruit for, or facilitate escort services, prostitution, intimate massage services, erotic massage services, intimate companion services, in-person sexual services, or any illegal service.
A Portal User shall not use the Portal to request, offer, promote, facilitate, arrange, or engage in any illegal service or activity.
A Portal User shall not use the Portal to submit, transmit, or promote material that is unlawful, fraudulent, deceptive, threatening, abusive, harassing, defamatory, obscene in violation of applicable law, invasive of privacy, infringing, or otherwise inconsistent with these Terms.

Portal Use Rules
A Portal User shall use the Portal only for lawful purposes and in accordance with these Terms.
A Portal User shall not:
- use the Portal in any way that violates applicable law;
- submit false, misleading, incomplete, or inaccurate information;
- impersonate any person or entity;
- use another person’s account or credentials;
- permit another person to use the Portal User’s account or credentials;
- interfere with or disrupt the Portal, systems, networks, or servers;
- attempt to gain unauthorized access to the Portal, accounts, systems, networks, data, or information;
- use bots, scrapers, crawlers, scripts, data-mining tools, or similar automated means to access, copy, monitor, or extract Portal content or data;
- introduce viruses, malware, ransomware, Trojan horses, worms, logic bombs, or other harmful code;
- reverse engineer, decompile, disassemble, or attempt to derive the source code or structure of any portion of the Portal;
- remove, obscure, or alter any copyright, trademark, proprietary rights notice, confidentiality notice, or other notice appearing in the Portal;
- copy, reproduce, distribute, display, sell, lease, sublicense, publish, or commercially exploit Portal content except as expressly permitted by TeleMainia;
- access or use the Portal for competitive intelligence, benchmarking, data harvesting, or unauthorized commercial purposes;
- use the Portal in a manner that exposes TeleMainia or another person to criminal or civil liability; or
- assist or encourage another person to do any of the foregoing.

Confidentiality of Portal Materials
The Portal may contain nonpublic information, training materials, resources, notices, operational information, payment information, performance information, account information, business methods, technical information, or other confidential information of TeleMainia or its affiliates.
A Portal User shall use confidential Portal materials only for the purpose of applying to or participating in the applicable TeleMainia program.
A Portal User shall not disclose, publish, copy, distribute, sell, transfer, or make confidential Portal materials available to any other person without TeleMainia’s prior written consent, except as required by law.
This section does not prohibit a Portal User from retaining personal tax records, payment records, or agreements to which the Portal User is a party.

Intellectual Property
The Portal, including its text, graphics, images, logos, trademarks, service marks, trade names, layout, design, software, databases, forms, workflows, resources, training materials, and other content, is owned by or licensed to TeleMainia and is protected by intellectual property and other laws.
Subject to these Terms, TeleMainia hereby grants the Portal User a limited, revocable, nonexclusive, nontransferable license to access and use the Portal solely for the Portal User’s application, onboarding, account administration, and authorized PA-related purposes.
A Portal User shall not copy, modify, reproduce, distribute, publish, display, perform, transmit, sell, license, create derivative works from, or otherwise exploit any portion of the Portal except as expressly authorized by TeleMainia in writing.
All rights not expressly granted are reserved.

Trademarks
PHONE ACTRESS®, TELEMAINIA®, and any related names, logos, designs, slogans, and marks are trademarks or service marks owned by or licensed to TeleMainia.
A Portal User shall not use TeleMainia’s trademarks, service marks, trade names, logos, or branding without TeleMainia’s prior written consent.

Privacy
TeleMainia’s collection, use, disclosure, and retention of Personal Information through the Portal is described in the applicable privacy policy or privacy notice.
By accessing or using the Portal, the Portal User acknowledges that TeleMainia may collect, use, disclose, and retain information as described in the applicable privacy policy or privacy notice.

Electronic Communications and Electronic Signatures
A Portal User consents to receive communications from TeleMainia electronically, including by email, Portal notice, account message, electronic form, or other electronic means.
A Portal User states that any email address, phone number, mailing address, and account information provided to TeleMainia is accurate and current.
A Portal User shall maintain the ability to receive, access, print, and retain electronic communications.
Any click, checkbox, electronic signature, typed name, account login, button press, or similar electronic action used to accept terms, submit information, authorize action, or sign a document through the Portal is the legal equivalent of a handwritten signature to the fullest extent permitted by law.

Third-Party Services
The Portal may use or link to third-party services, including hosting providers, payment service providers, tax documentation providers, analytics providers, security providers, SMS providers, or other service providers.
TeleMainia does not control third-party services and is not responsible for third-party websites, systems, terms, policies, practices, or availability.
A Portal User’s use of third-party services may be subject to separate terms, policies, authorizations, or notices.

Changes to the Portal
TeleMainia may modify, suspend, restrict, or discontinue the Portal or any Portal feature at any time, with or without notice.
TeleMainia may update, remove, restrict, disable, or change Portal content, account tools, resources, forms, reports, statistics, or workflows at any time.
TeleMainia does not guarantee that the Portal or any Portal feature will be available, uninterrupted, secure, accurate, complete, current, or error-free.

Changes to These Terms
TeleMainia may update these Terms from time to time. The updated Terms will be posted through the Portal or otherwise made available with a revised "Last updated" date.
Changes are effective when posted unless otherwise stated. A Portal User’s continued access to or use of the Portal after updated Terms are posted means that the Portal User accepts the updated Terms.

Suspension and Termination
TeleMainia may suspend, restrict, disable, or terminate a Portal User’s account, application, access, or participation at any time, with or without notice, if TeleMainia believes that:
- the Portal User has violated these Terms or another applicable agreement;
- the Portal User has submitted false, misleading, incomplete, or inaccurate information;
- the Portal User does not satisfy eligibility requirements;
- the Portal User has engaged in fraud, misuse, unlawful activity, or misconduct;
- the Portal User creates legal, regulatory, operational, security, reputational, payment, tax, or business risk;
- continued access is not commercially, legally, or operationally appropriate; or
- suspension or termination is otherwise permitted by an applicable agreement.
On termination, the Portal User’s right to access and use the Portal terminates immediately.
TeleMainia may retain information as described in the applicable privacy policy, privacy notice, agreement, and recordkeeping practices.

Disclaimer of Warranties
The Portal and all Portal content, features, tools, reports, resources, statistics, and communications are provided "as is," "as available," and "with all faults."
To the extent permitted by law, TeleMainia disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, availability, accuracy, reliability, and security.
TeleMainia does not warrant that the Portal will be uninterrupted, error-free, secure, free of viruses or harmful code, or that any defects will be corrected.
TeleMainia does not warrant that Portal content, earnings information, statistics, performance data, reports, resources, or communications will be accurate, complete, current, timely, or suitable for any purpose.
A Portal User uses the Portal at the Portal User’s own risk.

Limitation of Liability
To the extent permitted by law, TeleMainia and its owners, officers, directors, managers, members, employees, contractors, agents, affiliates, licensors, service providers, successors, and assigns will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business opportunities, loss of goodwill, loss of data, business interruption, or loss arising from:
- Portal access or inability to access the Portal;
- Portal errors, outages, delays, or security issues;
- application decisions;
- account suspension or termination;
- reliance on Portal content, resources, reports, statistics, or communications;
- inaccurate, incomplete, delayed, or corrected earnings or performance information;
- third-party services; or
- unauthorized access to or use of accounts or information.
To the extent permitted by law, TeleMainia’s total liability for any claim arising out of or relating to the Portal or these Terms will not exceed $100.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations will apply to the greatest extent permitted by law.

Indemnification
A Portal User shall indemnify TeleMainia and its owners, officers, directors, managers, members, employees, contractors, agents, affiliates, licensors, service providers, successors, and assigns against any claims, demands, actions, losses, liabilities, damages, judgments, settlements, penalties, fines, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- the Portal User’s access to or use of the Portal;
- the Portal User’s violation of these Terms;
- the Portal User’s violation of any applicable law or regulation;
- the Portal User’s submission of false, misleading, incomplete, or inaccurate information;
- the Portal User’s Submissions;
- the Portal User’s infringement or misappropriation of any third-party right;
- the Portal User’s tax, payment, business, or legal obligations; or
- the Portal User’s negligent, fraudulent, willful, or unlawful conduct.

Governing Law
Nevada law governs these Terms and any dispute arising out of or relating to these Terms, the Portal, or Portal access, without regard to conflict-of-law principles.

Dispute Resolution

Informal Resolution
Before filing any claim, the party asserting the claim shall first provide written notice describing the dispute and allow the other party a reasonable opportunity to resolve it. The parties shall attempt in good faith to resolve the dispute informally.

Arbitration
Except for claims that may be brought in small claims court or claims seeking temporary, preliminary, or permanent injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms, the Portal, or access to or use of the Portal must be resolved by binding arbitration on an individual basis.
The arbitration will be administered by National Arbitration and Mediation ("NAM") under NAM’s applicable Comprehensive Dispute Resolution Rules and Procedures, except as modified by these Terms.
If NAM is unavailable or unwilling to administer the arbitration, the parties shall agree on a substitute arbitration provider. If the parties cannot agree, a court of competent jurisdiction must appoint the arbitration provider or arbitrator.
The arbitration must take place in Las Vegas, Nevada, unless the parties agree otherwise.
The arbitrator must resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration agreement is void.
Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Injunctive Relief
Either party may seek temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, account security, system security, or other rights that may be harmed absent immediate relief.

Class Action Waiver
All disputes must be resolved only on an individual basis. The Portal User and TeleMainia each waive any right to bring or participate in any class action, collective action, representative action, private attorney general action, or consolidated proceeding.
The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. The arbitrator must not preside over any class, collective, representative, consolidated, or private attorney general proceeding.

Jury Trial Waiver
To the extent permitted by law, the Portal User and TeleMainia each hereby waive the right to a trial by jury in any dispute arising out of or relating to these Terms, the Portal, or access to or use of the Portal.

Time Limit to Bring Claims
To the extent permitted by law, any claim arising out of or relating to these Terms or the Portal must be brought within one year after the claim accrues, or it will be permanently barred.

Arbitration Severability
If any part of this arbitration agreement is found unenforceable, the unenforceable part will be severed and the remainder will be enforced to the extent permitted by law.
If the class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request for relief may proceed in court only after arbitration of all arbitrable claims is completed.

Informal Resolution

Venue for Non-Arbitrable Claims
For any claim not subject to arbitration, the exclusive jurisdiction and venue will be the state or federal courts located in Las Vegas, Nevada.
The Portal User and TeleMainia consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum or improper venue.

Miscellaneous
These Terms, together with any policies, notices, or terms incorporated by reference, form the entire agreement between the Portal User and TeleMainia regarding access to and use of the Portal.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
TeleMainia’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
A Portal User shall not assign or transfer these Terms or any rights or obligations under them without TeleMainia’s prior written consent. TeleMainia may assign or transfer these Terms without restriction.
Any provision that by its nature should survive termination will survive termination, including provisions relating to confidentiality, intellectual property, Submissions, payment administration, taxes, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, venue, and miscellaneous terms.
